Suren Gortsunyan is our firm’s co-founder and head of M&A practice. Suren advises Russian and international companies, focusing on M&As, capital markets, joint ventures and private equity.

Qualification

Advising one of the largest retail perfume and cosmetics chains Rive Gauche on the sale of 100% of the equity interest in the Rive Gauche Group to the merged company Wildberries & Russ (RWB).

Representing MTS on a sale of 100% in MTS Armenia.

Representing Aeon Development on its joint venture with Ferro-Stroy as part of a development project in the South River Port, Moscow.

Advising Yandex on a complex transaction involving the acquisition of the Delivery Club service from VK and the sale of the Dzen and News services to VK, including target due diligence.

Representing CSKA on a sale of over 75% in Football Club CSKA to State Corporation VEB.RF for approximately US$250 mln.

Advising the shareholders of the educational platform Uchi.ru on the sale of a strategic stake to Mail.Ru Group and to a consortium of investors led by RDIF and RCIF.

Representing LLC RPE Altair, a member of the AEON Corporation, on the acquisition of Fincraft Holdings Limited (Fincraft), the largest shareholder in Petropavlovsk PLC.

Representing AEON Corporation on its US$ 126 mln acquisition of a 48% holding in GeoProMining.

Advising the purchaser on a range of matters related to the acquisition of shares in the EUROCEMENT Group companies and claims against the group, as well as on raising financing for the transaction valued  at over $2 billion.

Representing Finstar on its acquisition of, and subsequent sale of a controlling stake in, Rive Gauche.

Representing independent directors of IG Seismic Services PLC on a proposal by one of its shareholders and preparation of necessary information materials.

Representing OJSC Lebedyansky on its IPO and several acquisitions.

Representing NMGK Group, a leading Russian food producer, on the sale of a strategic stake to Rusagro. Transaction documents were governed by the English law.

Before founding his own firm in 2018, Suren was partner at Akin Gump Strauss Hauer & Feld, an international law firm, and before that he was partner at Lovells and Hogan Lovells (after Lovells and Hogan & Hartson merged), senior associate at White & Case and associate at Herbert Smith CIS.

He has vast experience in drafting legislative bills on corporate law and securities market in the Russian Federation. In particular, Suren advised the Russian Federal Securities Market Commission (a function currently performed by the Bank of Russia). Besides, he co-authored a commentary on Russian Federal Law On Insolvency (Bankruptcy) (Statut, 1998).
