Oleg Isaev is a Partner in our Corporate/M&A practice. He advises clients on a broad range of domestic and cross-border transactions, focusing primarily on M&A, private equity and general corporate matters. Oleg has vast experience of advising on oil and gas law, corporate financing transactions, competition law and compliance matters. Besides, Oleg advises clients on infrastructure projects, securities offerings, financing, currency regulation and control, and a variety of commercial agreement matters.

Advising one of the largest retail perfume and cosmetics chains Rive Gauche on the sale of 100% of the equity interest in the Rive Gauche Group to the merged company Wildberries & Russ (RWB).

Advising Yandex on a complex transaction involving the acquisition of the Delivery Club service from VK and the sale of the Dzen and News services to VK, including target due diligence.

Representing a leading Russian milk producer on structuring sales in Africa.

Representing one of the largest Russian asset management companies on the acquisition of a large fishing business.

Representing Segezha Group on its acquisition of NKhLK, one of the largest Russian woodworking plants.

Representing PJSC MMK on issuance of replacement bonds.

Advising on the transaction involving PJSC Tatneft’s acquisition of shares in JSC Togliattisintez and an interest in the charter capital of LLC SIBUR Tolyatti.

Advising a leading global corporation engaged in the manufacture and sale of engines on a range of commercial and regulatory matters concerning its operations in Russia.

Representing a confidential client on a US$300 mln Russian joint venture and a proposed investment in a major Russian food producer.

Advising the shareholders of the educational platform Uchi.ru on the sale of a strategic stake to Mail.Ru Group and to a consortium of investors led by RDIF and RCIF.

Representing a major Russian holding in a transaction to create a joint venture for the construction of a methanol plant.

Representing a major foreign transportation and logistics company on the sale of its Russian subsidiaries.

Representing Aeon Development on its joint venture with Ferro-Stroy as part of a development project in the South River Port, Moscow.

Oleg’s expertise includes transaction and project support, as well as direct investments and venture capital.

Previously, Oleg worked in the Moscow offices of Akin Gump Strauss Hauer & Feld and White & Case, as well as in the legal department of the major Russian private equity fund Baring Vostok Capital Partners.
