Konstantin Mineev is a Partner focusing on Capital Markets and M&A. He has also advised clients on corporate restructurings, sanctions compliance and competition aspects of corporate transactions. Konstantin Mineev was Counsel at Akin Gump Strauss Hauer & Feld and, prior to that, he was associate at Hogan Lovells CIS. He started his career in the Moscow office of Debevoise & Plimpton.

Qualification

Representing HeadHunter on an additional public offering of 18 mln ordinary shares, public status of IPJSC Headhunter (group’s new parent company) and the listing of IPJSC Headhunter’s shares on MOEX.

Developing a new ownership structure for Cian in connection with the termination of its ADR listing on the NYSE and share buyback.

Representing Headhunter on an additional offering of 36,819,349 ordinary shares in January 2024. The placed securities were exchanged for shares and DRs in HeadHunter Group PLC, the holding company registered in Cyprus.

The total value of the offering exceeded RUB120 bln.
Capital Markets

Representing NMGK Group, a leading Russian food producer, on the sale of a strategic stake to Rusagro. Transaction documents were governed by the English law.

Advising the purchaser on a range of matters related to the acquisition of shares in the EUROCEMENT Group companies and claims against the group, as well as on raising financing for the transaction valued  at over $2 billion.

Advising HeadHunter on its acquisition of a stake in the YouDo platform.

The transaction was structured under both Russian and English law.

Representing CSKA on a sale of over 75% in Football Club CSKA to State Corporation VEB.RF for approximately US$250 mln.

Representing LLC RPE Altair, a member of the AEON Corporation, on the acquisition of Fincraft Holdings Limited (Fincraft), the largest shareholder in Petropavlovsk PLC.

Representing AEON Corporation on its US$ 126 mln acquisition of a 48% holding in GeoProMining.

Representing Finstar on its acquisition of, and subsequent sale of a controlling stake in, Rive Gauche.

Konstantin’s expertise includes transaction and project support, capital markets, and corporate law.

Konstantin worked as counsel at Akin Gump Strauss Hauer & Feld, and previously as a lawyer in the Moscow office of Hogan Lovells CIS. He began his professional career as a legal assistant in the Moscow office of Debevoise & Plimpton.
