Dyakin, Gortsunyan & Partners Represented Cian Group on a Corporate Restructuring

“Dyakin, Gortsunyan & Partners” (DGP) law firm acted as counsel on the corporate restructuring of Cian Group, the leading online real estate listings platform in Russia.

The project included comprehensive advice to Cian Group on the redomiciliation of companies in the group and obtaining public status for the new parent company of the group - ICPAO Cian Technology Ltd, including preparation of the prospectus. DGP lawyers also advised on a wide range of corporate restructuring aspects in connection with the exchange of American Depositary Receipts (ADRs) for ordinary shares and on the group's incentive plans (ESOP/LTI). Work on the project also included coordination of complex issues under Cyprus regulation of public companies.

The project was supported by counsel Katerina Manova, senior associate Georgy Musatov and associate Mikhail Panyushkin. The team was led by Konstantin Mineev, partner at Transactional Practice and Head of Capital Markets.
